04 Description of services — eight business lines

HK BALENTRAE CO., LIMITED provides the following eight business lines, as registered and operated out of Hong Kong. Each line is delivered under a separate engagement letter or statement of work that prevails over these Terms in the event of conflict on the engagement-specific scope.

  1. Corporate strategic planning.
  2. Business planning & management consulting.
  3. Brand marketing planning & market research.
  4. Project investment consulting.
  5. Business information consulting.
  6. Exhibition planning services.
  7. Supply chain consulting.
  8. Import / export of goods and technology.

In addition, HK BALENTRAE publishes mobile applications on Google Play and the Apple App Store (the "Apps"). The Apps are the on-the-go command surface for the eight business lines: research capture in the field, deal-flow viewers, supply-chain status and trade-finance checklists. The Apps integrate advertising mediation as documented in the Privacy Policy.

05 Mobile app terms

5.1 App-store rules

The Apps are made available through Google Play (operated by Google LLC) and the Apple App Store (operated by Apple Inc.). Your use of the Apps is also subject to the standard terms of the relevant store (Google Play Terms of Service; Apple Media Services Terms). In the event of conflict between those terms and these Terms, these Terms prevail as between you and HK BALENTRAE on matters that are not within the store's exclusive remit.

5.2 In-app purchases and virtual items

The Apps may surface in-app purchases, subscriptions or virtual items ("IAP"). IAP is processed by the relevant store under its own terms; HK BALENTRAE does not see or store your payment-card details. Refund requests are handled by the store in the first instance; if a store declines, you may contact support@hengyuance.com and we will consider the request in good faith under the relevant consumer-law regime.

5.3 App updates and end-of-life

We may release updates that add features, fix defects or improve performance. Some updates may be required to continue using the Apps. We may retire an App on reasonable notice; on retirement we will offer the user an export of any user-generated content held in the App for at least 90 days, subject to §10 retention.

06 Eligibility & age requirements

You must be legally able to enter into a contract in your place of residence to use the Site or the Apps. The following age thresholds apply to the Apps under the relevant children-protection frameworks (see also the Privacy Policy §9):

  • Under 13 (COPPA, USA): no behavioural advertising; verifiable parental consent required before any personal data collection.
  • Under 16 (GDPR Art. 8 / UK GDPR, EU/UK): parental consent required for information-society services. Member states may lower to 13.
  • Under 18 (UK AADC): high privacy by default; no behavioural ads in default settings; DPIA mandatory.
  • Under 18 (California SB-976, USA-CA): no sale/sharing of PII without opt-in; DPIA required for features likely to be accessed by children.
  • Under 18 (LGPD, Brazil): consent from at least one parent; best-interest principle.
  • Under 14 (PIPL, Mainland China): separate consent of parent/guardian for processing personal information of minors.

The Apps apply the highest-protection regime globally until a neutral age screen is shipped.

07 Account responsibilities

Where the Site or the Apps require an account, you are responsible for:

  • keeping your credentials confidential;
  • all activity that occurs under your account;
  • informing us promptly of any unauthorised use.

We may suspend or terminate access to the Apps where there is a reasonable belief of unauthorised use, breach of these Terms, or a security risk.

08 Acceptable use & prohibited conduct

You agree not to:

  • use the Site or the Apps for any unlawful purpose or in violation of any applicable law;
  • interfere with or disrupt the integrity or performance of the Site, the Apps or the data contained in them;
  • attempt to gain unauthorised access to the Site, the Apps, related systems or networks;
  • use any robot, spider, scraper or other automated means to access the Site or the Apps except as needed by legitimate search engines;
  • upload or transmit viruses, malware or any other malicious code;
  • reverse-engineer, decompile or otherwise attempt to derive source code from the Apps, except as permitted by mandatory law;
  • use the Site or the Apps to send unsolicited communications or to advertise third-party products or services;
  • collect or harvest any personal data from the Site or the Apps for any purpose not authorised by HK BALENTRAE.

09 Intellectual property rights

9.1 Company IP

All IP in the Site, the Apps, the underlying operating system, the documentation, the brand assets (including the HK BALENTRAE name and the cute-animal mascots) and any methodologies, frameworks or templates developed by HK BALENTRAE in the course of providing the Services is and remains the property of HK BALENTRAE or its licensors. Nothing in these Terms transfers ownership of that IP to you.

9.2 User IP

You retain all IP in the data, content and materials you provide to HK BALENTRAE ("User IP"). You grant HK BALENTRAE a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify and process User IP solely to provide the Services and the Apps, and to develop anonymised, aggregated insights that do not identify you.

9.3 Licence to use the Site and the Apps

Subject to your compliance with these Terms, HK BALENTRAE grants you a limited, non-exclusive, non-transferable, revocable licence to access the Site and to install and use the Apps on devices you own or control, for your internal personal or business purposes.

10 User content & submissions

You are responsible for the content you submit through the Site (e.g. via the contact form) or in the Apps (e.g. in-app messages, uploaded files). You confirm that you have the right to submit that content and that it does not infringe any third-party rights or breach any applicable law. We may remove content that we reasonably believe breaches these Terms, with notice where practical.

We retain content only as long as needed for the purpose of providing the Services, plus the retention period set out in the Privacy Policy §6. After that period, content is deleted or anonymised.

11 Fees & payment (services)

Fees for the eight business-line services are set out in the engagement letter or statement of work agreed between HK BALENTRAE and the client. The Site and the Apps are made available without charge, subject to §5 (in-app purchases). Nothing in these Terms constitutes an offer to provide Services on specific terms; any such offer is made only in a written engagement.

12 Third-party services & ad networks

The Apps integrate the third-party ad-mediation platforms listed in Privacy Policy §8, and platform services provided by Google and Apple. HK BALENTRAE does not control and is not responsible for the availability, accuracy or legality of third-party services. Your use of third-party services is subject to the third party's own terms. Where a third-party service is paid or in-app purchased, the third-party store's terms prevail on payment.

13 Disclaimers & no warranty

The Site and the Apps are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, HK BALENTRAE disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy of content. We do not warrant that the Site or the Apps will be uninterrupted, error-free or secure, or that defects will be corrected.

Nothing in this section limits warranties that cannot be excluded under the consumer law of the user's place of residence.

14 Limitation of liability

To the maximum extent permitted by applicable law, HK BALENTRAE and its officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising out of or in connection with your use of the Site or the Apps.

Where liability cannot be excluded, the aggregate liability of HK BALENTRAE arising out of or in connection with these Terms is capped at the greater of (a) the fees paid by you to HK BALENTRAE for the Services giving rise to the claim in the 12 months preceding the claim, or (b) USD 1,000.

Nothing in this section limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be limited under the law of the user's place of residence.

15 Indemnification

You agree to indemnify HK BALENTRAE and its officers, employees and agents against any third-party claim arising out of (a) your breach of these Terms, (b) your misuse of the Site or the Apps, or (c) your User Content, to the extent permitted by applicable law.

16 Termination

You may stop using the Site and uninstall the Apps at any time. We may suspend or terminate your access to the Site or the Apps at any time, with or without notice, where we reasonably believe you have breached these Terms, where required by law, or where continuing to provide the Site or the Apps would create a security or legal risk.

Provisions that by their nature should survive termination — including those on IP, disclaimers, limitation of liability, governing law and dispute resolution — survive termination.

17 Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms — including any question regarding its existence, validity or termination — shall be referred to and finally resolved by the courts of Hong Kong. Nothing in this section limits the right of a consumer to bring proceedings in the courts of the consumer's place of residence under mandatory consumer law.

18 Regional consumer rights notice

We may update these Terms from time to time. Material changes will be notified in-app or by email where we have a working address.
